1. Acceptance of Terms

By creating an account or using HVAC Copilot ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding agreement between you and the individual owner and operator of HVAC Copilot ("Operator"), a private beta software service currently operating without a formal business entity.

2. Beta Testing Disclosure

HVAC Copilot is currently in beta testing. The Service is provided as-is, without any warranties of any kind. Features may change, be removed, or be unavailable without notice. Your use during this period helps improve the product, and you acknowledge that the Service may contain errors, bugs, or incomplete functionality.

3. Nature of the Service — AI Limitations

HVAC Copilot is an AI-assisted field reference tool designed to support HVAC/R technicians. It provides general diagnostic guidance based on published manufacturer documentation and field knowledge.

  • Not a substitute for professional judgment. AI-generated responses may be incomplete, inaccurate, or outdated. All diagnostic decisions, safety calls, and repair actions must be made by a qualified, licensed technician using their own training, tools, and judgment.
  • No liability for AI errors. The Operator is not responsible for any harm, property damage, equipment failure, personal injury, or financial loss arising from reliance on AI-generated responses.
  • Always verify against OEM documentation. Manufacturer service manuals, installation guides, and technical bulletins take precedence over any AI response.
  • Safety-critical situations. In any situation involving risk of fire, explosion, electrical hazard, toxic gas, or carbon monoxide, follow proper safety procedures immediately. Do not rely solely on this tool.

4. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent that you meet this requirement. The Service is intended for use by HVAC/R technicians, contractors, and professionals. Use by untrained individuals for live equipment repairs is discouraged.

5. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must not share your account with others.
  • You must provide accurate information during account creation.
  • You must notify the Operator immediately if you suspect unauthorized access to your account.

6. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of applicable law.
  • Attempt to reverse-engineer, scrape, or extract content from the Service in bulk.
  • Use automated bots or scripts to interact with the Service.
  • Submit false, misleading, or malicious content.
  • Attempt to gain unauthorized access to any part of the system.
  • Resell or redistribute access to the Service without written permission.

7. Intellectual Property

All content, software, prompts, knowledge base articles, and UI elements of the Service are the property of the Operator. You may not copy, reproduce, distribute, or create derivative works without express written permission.

You retain ownership of any information you provide during conversations. By using the Service, you grant the Operator a non-exclusive, royalty-free license to use conversation data to improve the Service, subject to the Privacy section below.

8. Privacy and Data

The Service collects your name, email address, IP address at account creation, and conversation data. This information is used solely to operate and improve the Service. The Operator does not sell your personal data to third parties. Data is stored on secure cloud infrastructure (Neon / Vercel).

Your conversation history may be reviewed by the Operator for quality assurance and AI improvement purposes.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE OPERATOR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, PROPERTY DAMAGE, EQUIPMENT FAILURE, PERSONAL INJURY, OR DATA LOSS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF THE OPERATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE OPERATOR'S TOTAL CUMULATIVE LIABILITY EXCEED FIFTY DOLLARS ($50.00) OR THE AMOUNT YOU PAID FOR THE SERVICE IN THE PRECEDING THREE MONTHS, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Operator from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) any diagnostic or repair decision you make based on AI-generated responses; or (d) your violation of any applicable law or regulation.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida, and you consent to personal jurisdiction in those courts.

13. Modifications to Terms

The Operator reserves the right to modify these Terms at any time. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. The effective date at the top of this document will be updated with each revision.

14. Termination

The Operator reserves the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason at the Operator's discretion. You may terminate your account at any time by contacting the Operator. Sections 9, 10, 11, and 12 survive termination.
